1. Basic Approach to Disclosure
Accordia Golf Co., Ltd. (hereafter “Accordia”) makes disclosures in accordance with the Companies Law, Financial Instruments and Exchange Law, and related legislation as well as the timely disclosures rules set forth by the Tokyo Stock Exchange (hereafter “Timely Disclosure Rules”)
Articles 2, 3, and 4 of the Timely Disclosure Rules require timely disclosure in the event that decisions, events or information relating to financial reporting which impact investment decisions arise, that inquiries are received from the Tokyo Stock Exchange, or that important company information which has already been disclosed are subject to significant change or removal. Further, Accordia’s policy is to make fair and proactive disclosures of information announced at analysts’ meetings and other information to meet investors’ needs to the extent possible, even with respect to information which does not fall within the scope of the Timely Disclosure Rules.
2. Method of Informational Disclosure
Disclosure of information which is subject to the Timely Disclosure Rules are publicized on the Timely Disclosure Information Disclosure System (TDnet) provided by the Tokyo Stock Exchange, pursuant to the Timely Disclosure Rules. Information posted on TDnet is also made available on this website in a timely manner. Please be advised that there may be significant delays in posting such information on this website after disclosure on TDnet due to circumstances surrounding the preparation of online tools and systems. Further, Accordia is making an effort to ensure that information not required for disclosure under the Companies Law, Financial Instruments and Exchange Law and related legislation, or the Timely Disclosures Rules are provided to investors at large in a fair, accurate, and appropriate manner and in accordance with the spirit of timely disclosure.
3. Future Forecasts
Accordia may, from time to time, provide guidance on its earnings forecasts in addition to earnings forecasts submitted to the Tokyo Stock Exchange, in order to assist investors and securities analysts in making predictions concerning Accordia’s performance. Further, information relating to current plans, forecasts, or strategy may be included in greetings and other messages, documents such as IR tools, video content such as videos of analysts’ meetings, and information presented through this website. In any case, information other than historical fact should be regarded as future forecasts which have been prepared under certain assumptions and reflect the judgment of Accordia management based on currently available information. 5. Silent Period
In order to prevent the leakage of financial reporting information and insider trading based on such information leakage as well as to ensure fairness concerning investment-related information for our shareholders and investors, Accordia Golf has established a silent period beginning on the day following each financial reporting date (including quarterly financials) and ending on the relevant announcement date. Our policy is to withhold responses to any and all questions concerning financial reporting information during the silent period, although we will make appropriate information disclosures without delay through the Tokyo Stock Exchange in the event a revision in our operating performance is required.
